1. Agreement to Terms

By submitting a project to DocuCraft Services ("DocuCraft," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service.

These Terms constitute a legally binding agreement between you and DocuCraft Services. Please read them carefully before using our services. If you do not agree to all of these terms, please do not submit any projects or use our services.

By using our services, you represent that you are at least 18 years old and have the legal authority to enter into this agreement. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Services Offered

DocuCraft provides professional document processing services including, but not limited to:

  • Transcription & Document Formatting: Audio/video transcription, legal pleading formatting, academic papers, templates, table of contents, table of authorities
  • Report and Manuscript Preparation: Professional formatting and preparation of business reports, research papers, manuscripts, white papers, and long-form documents. We handle technical formatting only—not content creation, writing, editing, or subject matter expertise.
  • PDF Services: PDF creation, PDF to Word conversion, fillable forms, OCR, combining/splitting, signatures and bookmarks
  • Excel Services: Data entry, basic formulas, financial spreadsheets, cleanup and formatting
  • PowerPoint Services: Presentation design, slide cleanup, layout review, charts and graphics, templates
  • General Administrative Services: Document support, file organization, version tracking, mail merge
  • Attorney Time Entry: Time entry conversion, billing system entry, proofreading, summaries

2.1 Scope of Services

Transcription Services:

We provide preparation transcripts - clean, readable transcripts for internal use, review, and preparation. This includes dictation transcription with professional formatting, and preparation transcripts of depositions, interviews, and meetings.

IMPORTANT DISCLAIMER: We do NOT provide certified court reporting or official legal transcripts for court filing. Our transcripts are for preparation, review, and internal use only - not for official court submission.

  • What we provide: Clean, readable transcripts in standard English, dictation transcription + formatting, preparation transcripts (depositions, interviews, meetings)
  • What we do NOT offer: Certified court reporting, official legal transcripts for court filing, strict verbatim transcription, timestamps, or detailed speaker labels

Excel Services:

  • Basic formulas included (SUM, AVERAGE, IF, VLOOKUP, etc.)
  • Complex formulas, pivot tables, macros, and charts are NOT included
  • We focus on data entry, organization, and basic calculations

Legal Pleading Formatting:

Professional formatting of court pleadings and legal documents according to Texas court rules and style guidelines. We format your documents - we do not provide legal advice or review documents for legal sufficiency.

What we DO:

  • Format pleadings to Texas court requirements
  • Apply proper margins, spacing, and fonts
  • Create table of contents and indexes
  • Ensure professional appearance
  • Correct formatting and pagination

What we DON'T do:

  • Provide legal advice
  • Review for legal compliance or accuracy
  • Draft legal arguments or strategy
  • Determine legal sufficiency

You remain responsible for all legal content and compliance. We handle the formatting.

Rate: $45/hour

Document Services:

  • Services are limited to the scope described in your project request
  • We focus on formatting and organization, not content creation or editing

Report and Manuscript Preparation:

Professional formatting and preparation of business reports, research papers, manuscripts, white papers, and long-form documents. We handle the technical formatting so your content looks polished and professional.

What we DO:

  • Format according to your style guide (APA, MLA, Chicago, company standards)
  • Apply consistent formatting throughout (fonts, spacing, margins)
  • Create table of contents, list of figures, bibliography
  • Format headers, footers, page numbers
  • Insert and format tables, charts, and images
  • Apply proper heading hierarchy and styles
  • Format citations and reference lists
  • Convert between document formats (Word, PDF, etc.)
  • Ensure professional, publication-ready appearance
  • Proofread for formatting consistency and typos

What we DON'T do:

  • Write or rewrite your content
  • Conduct research or add information
  • Provide subject matter expertise or analysis
  • Edit for content, logic, or argument structure
  • Fact-check information or data
  • Provide academic or professional advice
  • Review for technical accuracy or completeness
  • Make substantive changes to your work

You remain responsible for: All content, facts, conclusions, accuracy of data and information, compliance with any requirements (academic, legal, etc.), and subject matter accuracy.

Perfect for: Business reports, white papers, academic papers, theses, research manuscripts for publication, corporate documentation, grant proposals, technical documentation, and books.

Rate: $45/hour

File Organization & Summary:

We organize, categorize, and summarize your documents for easy reference. This is an administrative service only - we do not provide legal review or legal advice.

Services include:

  • Organizing files by date, type, or category
  • Creating document indexes and summaries
  • Preparing chronologies and timelines
  • File naming and folder structure
  • Digital file management

NOT included:

  • Legal analysis or advice
  • Review for legal compliance
  • Legal document assessment
  • Attorney work product

Perfect for: Businesses managing large document collections, preparing for meetings, or organizing records.

Rate: $45/hour

3. Pricing and Payment

3.1 Rates

Services are billed using one of two methods:

1. Dictation & Transcription Services: Speaker-Based Pricing

Dictation and transcription services are billed at a fixed per-minute rate based on the number of speakers in your audio/video. These rates include BOTH transcription AND professional formatting - you receive a finished, ready-to-use document.

  • 1 speaker: $2.25 per minute
  • 2 speakers: $2.50 per minute
  • 3+ speakers: $2.75 per minute
  • Minimum: $45 for all dictation services
  • Priority Processing (next available business day): +25%

Pricing is based on the length of your audio/video file, not the time it takes us to complete the work. You will know the exact cost before work begins. The final delivered document is professionally formatted and ready to use.

2. All Other Services: Hourly Rate

Document formatting (when you already have typed text), Excel, PowerPoint, PDF, and all other non-dictation services are billed at an hourly rate based on actual verified time worked:

  • Hourly Rate: $45.00 per hour
  • Minimum: 1 hour
  • Billing: Time is rounded to the nearest 15 minutes after first hour
  • Tracking: Time is tracked through our secure timekeeping system

Invoices: All invoices include a detailed breakdown showing either audio/video length (for dictation services) or time worked (for other services). The rate quoted at the time of your project submission will be honored for that project.

3.2 Payment Terms

  • Payment is due upon receipt of completed work unless otherwise agreed in writing
  • We accept multiple payment methods through Stripe, including credit cards, debit cards, and ACH bank transfers
  • Payment method may vary based on project type and client relationship
  • For first-time clients: We may require partial or full prepayment
  • For established clients: NET 15 or NET 30 terms may be available
  • Priority Processing services require 50% deposit before work begins
  • Platform-based work (Fiverr, Upwork, etc.) follows platform payment terms

3.3 Payment Processing

  • Electronic payments are subject to processing service terms and conditions
  • We are not responsible for delays caused by payment processors
  • Client remains liable for payment regardless of payment method issues
  • We reserve the right to request alternative payment methods if needed

3.4 Late Payment

  • Invoices unpaid after 30 days may be subject to a late fee of 1.5% per month
  • Continued non-payment may result in service suspension
  • We reserve the right to require prepayment from clients with past-due balances

4. Turnaround Times

Turnaround times vary based on project complexity and current workload.

Standard Projects (simple letters, basic formatting, standard discovery):

  • Typical turnaround: 3-5 business days from receipt of complete materials

Complex Projects (extensive formatting, large documents, multiple revisions):

  • Turnaround quoted on a case-by-case basis

Rush Service:

  • Available for simple projects subject to current workload

Legal Pleadings:

  • Turnaround based on court deadlines and complexity

5. File Submission and Handling

5.1 Acceptable File Formats

Audio: MP3, WAV, M4A, AAC
Documents: DOC, DOCX, PDF, TXT
Spreadsheets: XLS, XLSX, CSV
Presentations: PPT, PPTX

5.2 File Quality Requirements

  • Audio files must be audible and reasonably clear
  • We reserve the right to reclassify audio as "difficult" (higher rate) if quality is poor
  • Scanned documents must be legible
  • You are responsible for providing complete and accurate source files

5.3 File Storage and Retention

  • Your files are stored securely during the project
  • Completed projects and source files are retained for 30 days after delivery
  • After 30 days, we may delete files to free storage space
  • We recommend you download and backup all delivered work immediately

5.4 Privacy and Confidentiality

  • We treat all client files as confidential
  • We do not share, sell, or distribute your content
  • We do not use your files for any purpose other than completing your project
  • Files are stored on secure, encrypted servers

5.5 File Delivery

  • Completed files will be delivered via email or file transfer service as agreed
  • For time-sensitive projects, files may be delivered before payment clears
  • Client accepts full responsibility for payment regardless of when files are delivered
  • Delivery of files does not waive our right to payment
  • Non-payment after delivery may result in legal action and collection fees

5.6 Client-Provided NDAs

Clients may request that DocuCraft Services sign their own Non-Disclosure Agreement. In such cases:

  • The client is responsible for the actual cost of legal review by our attorney prior to signing
  • Legal review fees will be communicated before any review work begins
  • Review is typically completed within 3-5 business days
  • We reserve the right to decline NDAs with unreasonable terms

Legal review ensures we fully understand all obligations before entering into any agreement. Most standard business NDAs are reviewed quickly and affordably.

6. Revisions and Corrections

We understand documents typically require refinement. Two rounds of normal revisions are included at no charge when requested within 48 business hours of delivery.

Errors or mistakes on our part will be corrected at no charge if reported within 7 days.

Additional revisions beyond the included 2 rounds, requests after 48 business hours, or changes to the original project specifications will be billed at our standard hourly rate of $45/hour.

7. Client Responsibilities

You agree to:

  • Provide complete, accurate project specifications
  • Provide files in acceptable formats and reasonable quality
  • Respond promptly to questions about your project
  • Review delivered work within 48 business hours
  • Make payment promptly upon receipt of completed work
  • Notify us immediately of any errors or issues

8. Cancellations and Refunds

8.1 Cancellation by Client

  • You may cancel before work begins: Full refund of any deposit
  • You may cancel after work begins: Charged for work completed or minimum charge (whichever is greater)
  • Minimum 1-hour charge ($45.00) applies even if cancelled early
  • Rush service deposits are non-refundable once work has started

8.2 Cancellation by DocuCraft

We reserve the right to cancel or refuse service if:

  • Project violates our policies or applicable laws
  • Files contain illegal, harmful, or inappropriate content
  • Client is abusive, threatening, or disrespectful to staff
  • Payment issues arise

8.3 Refund Policy

  • If we cannot complete your project: Full refund
  • If quality does not meet standards and we cannot correct: Partial or full refund at our discretion
  • If you are dissatisfied but work meets specifications: No refund, but we will work with you to resolve concerns

9. Limitations of Liability

9.1 Service "As-Is"

Services are provided "as-is" without warranties of any kind, express or implied.

9.2 Liability Cap

Our total liability for any claim related to our services shall not exceed the amount you paid for the specific project in question.

9.3 No Consequential Damages

We are not liable for:

  • Lost profits, revenue, or business opportunities
  • Data loss (always maintain your own backups)
  • Indirect, incidental, or consequential damages
  • Damages resulting from delays or service interruptions

9.4 Third-Party Content

We are not responsible for:

  • The content you provide (you retain ownership and responsibility)
  • Copyright, trademark, or other intellectual property issues with your content
  • Factual accuracy of your content

10. Intellectual Property

10.1 Your Content

  • You retain all rights to your original content
  • By submitting files, you grant us a temporary license to process them
  • This license terminates when your project is complete and delivered

10.2 Our Work Product

  • The formatted documents, transcripts, and other deliverables we create become your property upon full payment
  • We retain the right to use anonymized, generic examples of our work for marketing purposes (no identifying client information)

11. Prohibited Uses

You may NOT use our services to:

  • Transcribe or process illegal content
  • Process content that infringes copyright or other intellectual property rights
  • Process content containing personal information of others without authorization
  • Create documents for fraudulent, deceptive, or harmful purposes
  • Process malware, viruses, or malicious code
  • Violate any applicable laws or regulations

12. Dispute Resolution

12.1 Good Faith Resolution

If you have a concern or dispute, please contact us at info@docucraftservices.com. We will work in good faith to resolve any issues.

12.2 Informal Resolution

We require at least 15 days of good-faith negotiation before pursuing formal dispute resolution.

12.3 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

13. Modifications to Terms

13.1 Changes

We reserve the right to modify these Terms at any time. Changes will be posted on our website with a new "Last Updated" date.

13.2 Notification

We will make reasonable efforts to notify active clients of material changes.

13.3 Continued Use

Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and DocuCraft regarding our services.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

14.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

14.4 Assignment

You may not assign your rights or obligations under these Terms. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, power outages, internet failures, etc.).

16. Acknowledgment

By submitting a project to DocuCraft Services, you acknowledge that:

  • You have read and understood these Terms of Service
  • You agree to be bound by these Terms
  • You have the authority to enter into this agreement
  • All information you provide is accurate and complete
